1. Agreement to Terms

By accessing our website, booking a call, purchasing our services, or submitting any form, you (“Client”) agree to be bound by these Terms of Service (“Terms”) with AI-Lead Service (“Company,” “we,” “us,” or “our”). If you do not agree to these Terms, do not use our services.

2. Services

AI-Lead Service provides AI-powered automation services for local service businesses, including but not limited to:

• Missed call text-back automation
• AI appointment setting and calendar management
• Review generation and follow-up sequences
• Lead nurture and reactivation campaigns
• Website design and development (Authority plan only)
• CRM setup and pipeline management

The specific services provided to you are determined by the plan you select at the time of purchase.

3. Service Plans

We offer the following subscription plans:

Plan features are subject to change with 30 days written notice. We reserve the right to adjust pricing with 30 days notice to existing clients.

4. Payment Terms

a) Setup Fee

A one-time setup fee is due at the time of purchase before any work begins. Setup fees are non-refundable under any circumstances, including cancellation, dissatisfaction, or failure to provide required onboarding information.

b) Monthly Subscription

Monthly subscription fees are billed automatically on the same date each month. Payments are processed securely through Stripe. By purchasing a subscription, you authorize us to charge your payment method on a recurring monthly basis.

c) Failed Payments

If a payment fails, we will attempt to process it again within 3 business days. If payment is not received within 7 days of the due date, your service may be suspended until payment is made.

d) Taxes

You are responsible for any applicable taxes associated with your purchase.

5. Cancellation Policy

a) How to Cancel

You may cancel your subscription at any time by providing written notice to contact@ai-leadservice.com with at least 7 days notice before your next billing date.

b) Effect of Cancellation

Upon cancellation, your service will remain active through the end of the current billing period. No partial refunds will be issued for unused portions of a billing period.

c) Setup Fee

Setup fees are non-refundable regardless of when cancellation occurs.

d) No Long-Term Contracts

We do not require long-term contracts. You may cancel at any time subject to the notice requirements above.

6. Refund Policy

a) Monthly Fees

We offer a 7-day satisfaction period from the date your automation system goes live. If you are not satisfied within the first 7 days of your system being live and operational, contact us at contact@ai-leadservice.com and we will work to resolve the issue or issue a refund for that month’s fee at our discretion.

b) Setup Fees

Setup fees are strictly non-refundable. These fees cover the time, labor, and platform costs associated with configuring your automation system.

c) No Refunds After 7 Days

After the 7-day satisfaction period, no refunds will be issued for monthly subscription fees under any circumstances.

7. Client Responsibilities

To receive the full benefit of our services, you agree to:

• Complete the onboarding form within 5 business days of purchase
• Provide accurate and complete business information
• Maintain an active phone number capable of receiving SMS and calls
• Respond to our setup questions and requests in a timely manner
• Ensure your Google Business Profile is claimed and accessible
• Comply with all applicable laws in your use of our services and automation workflows
• Not use our services for spam, harassment, or any unlawful purpose

Failure to complete onboarding within 14 days of purchase may result in forfeiture of the setup fee with no refund.

8. SMS Compliance and Acceptable Use

By using our services, you acknowledge and agree that:

• All SMS communications sent through our platform on your behalf will comply with the Telephone Consumer Protection Act (TCPA), the CAN-SPAM Act, and all applicable federal, state, and local laws
• You will only send SMS messages to contacts who have provided prior express written consent to receive such messages
• You will maintain records of consent for all SMS recipients
• You will honor all opt-out requests immediately
• You will not use our platform to send unsolicited commercial messages, spam, or messages to purchased or scraped contact lists
• You are solely responsible for ensuring your contact lists comply with all applicable laws and regulations
• We reserve the right to suspend or terminate your account immediately if we determine you are using our services in violation of SMS regulations or these Terms

We are not liable for any fines, penalties, or legal actions arising from your non-compliant use of SMS features.

9. Intellectual Property

a) Our Platform

All automation workflows, templates, systems, and proprietary processes we develop remain the intellectual property of AI-Lead Service. Upon cancellation, access to our platform and proprietary workflows will be terminated.

b) Your Content

You retain ownership of all content, data, and materials you provide to us. By providing such materials, you grant us a limited license to use them solely for the purpose of providing our services to you.

10. Confidentiality

Both parties agree to keep confidential any proprietary or sensitive information shared during the course of the business relationship. This includes but is not limited to business strategies, pricing, client lists, and technical systems.

11. Limitation of Liability

To the maximum extent permitted by law:

• AI-Lead Service shall not be liable for any indirect, incidental, special, consequential, or punitive damages
• Our total liability to you for any claims arising from our services shall not exceed the total amount paid by you in the 3 months preceding the claim
• We do not guarantee specific results, revenue increases, or lead conversion rates
• We are not responsible for third-party platform outages, carrier delays, or delivery failures outside our control

12. Disclaimer of Warranties

Our services are provided “as is” and “as available” without warranties of any kind, either express or implied. We do not warrant that our services will be uninterrupted, error-free, or meet your specific requirements.

13. Indemnification

You agree to indemnify, defend, and hold harmless AI-Lead Service and its officers, employees, and agents from any claims, damages, losses, or expenses (including reasonable attorney fees) arising from your use of our services, your violation of these Terms, or your violation of any applicable law or third-party rights.

14. Termination

We reserve the right to suspend or terminate your account immediately and without notice if:

• You violate these Terms
• You engage in fraudulent or illegal activity
• You fail to pay fees when due
• You use our services in a way that damages our reputation or platform

Upon termination, your access to our platform will be revoked and no refunds will be issued.

15. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Florida, without regard to its conflict of law provisions. Any disputes arising under these Terms shall be resolved in the courts of Hillsborough County, Florida.

16. Dispute Resolution

Before initiating any legal action, both parties agree to attempt to resolve disputes through good faith negotiation. If negotiation fails, disputes shall be resolved through binding arbitration in accordance with the rules of the American Arbitration Association, except that either party may seek injunctive relief in court for intellectual property violations.

17. Changes to These Terms

We reserve the right to modify these Terms at any time. We will provide 30 days written notice of material changes to existing clients. Continued use of our services after changes take effect constitutes your acceptance of the updated Terms.

18. Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and AI-Lead Service regarding our services and supersede any prior agreements or understandings.
